1. Introduction

These Terms & Conditions (the "Terms") govern your access to and use of the Funbypass website, dashboard and API-based automation services (collectively, the "Services"). By creating an account, accessing, or using the Services in any way, you agree to be bound by these Terms.

Funbypass is designed for legitimate automation scenarios such as quality assurance, SEO, price and content monitoring, advertising verification and other business intelligence use cases. You are responsible for ensuring that your use of the Services is lawful and compliant with the terms and policies of the websites and platforms you interact with.

2. Definitions

For purposes of these Terms:

• "Client", "you" or "your" means the individual or legal entity using the Services.
• "Company", "Funbypass", "we", "us" or "our" means the operator of the Services.
• "Account" means the online account created by or for you to access and use the Services.
• "API" means the application programming interfaces, documentation and related materials provided by Funbypass.
• "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or should reasonably be understood to be confidential by its nature.

3. Eligibility and Account

You may use the Services only if you are legally capable of entering into a binding contract and are authorized to act on behalf of your organization (if applicable). You agree to provide accurate and complete registration information and to keep it up to date.

You are responsible for maintaining the confidentiality of your login credentials and API keys, and for all activity occurring under your Account. You must notify us immediately if you suspect any unauthorized use of your Account or API keys.

4. License and Permitted Use

Subject to your continuous compliance with these Terms and timely payment of applicable fees, Funbypass grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your internal business purposes.

You may use the Services to automate browser interactions, process web elements, collect publicly available information and run other workflows that you are lawfully authorized to perform on target websites and platforms.

5. Prohibited Activities

You must not use the Services for any unlawful, abusive or harmful purpose, including:

• Attempting to gain unauthorized access to systems, accounts or data.
• Collecting non-public or sensitive personal information without consent.
• Interfering with, disrupting or degrading the operation of third-party services.
• Violating any applicable law, regulation or court order.
• Violating the terms of service, acceptable use policies or robots.txt rules of target websites and platforms.
• Using the Services for fraud, impersonation, spam, abuse, harassment or other deceptive practices.
• Reselling or providing the Services to third parties without our consent.

We may suspend or terminate your access to the Services immediately if we reasonably believe you are engaging in Prohibited Activities or exposing Funbypass or others to legal or security risk.

6. Fees, Billing and Refunds

Pricing, billing models and plan limits are described on our website or in a separate order form. We may update pricing from time to time, and any changes will apply from the next billing period after notice to you.

You authorize us or our payment processor to charge all applicable fees to the payment method associated with your Account. You are responsible for all taxes, duties or similar charges arising from your use of the Services, other than taxes on our income.

As a rule, payments for access to the Services and usage-based charges are non-refundable once the corresponding period or usage has begun, except as expressly set out in our separate Refund Policy available on this website.

7. Service Availability and Maintenance

We aim to provide a stable, high-availability platform, but the Services may be temporarily unavailable due to planned maintenance, unscheduled downtime or events beyond our reasonable control (for example, failures of hosting providers or upstream networks).

We may modify, suspend or discontinue features of the Services where necessary for security, technical, legal or business reasons. When practicable, we will provide advance notice of material changes that may significantly affect your use of the Services.

8. Intellectual Property

All rights, title and interest in and to the Services, including underlying software, documentation, logos, trademarks and other content provided by Funbypass, are and will remain the exclusive property of Funbypass and its licensors. No rights are granted to you other than those expressly stated in these Terms.

You retain all rights in and to your own data and content processed through the Services. You grant Funbypass a limited license to process such data solely for the purpose of providing and supporting the Services.

9. Confidentiality

Each party may have access to the other party's Confidential Information in connection with the Services. The receiving party will use the same degree of care it uses to protect its own confidential information (and in any event no less than reasonable care) to protect the other party's Confidential Information, and will use it only for purposes related to these Terms.

The obligations in this section do not apply to information that is or becomes publicly available without breach of these Terms, was lawfully known to the receiving party before disclosure, is independently developed without use of Confidential Information, or is rightfully received from a third party.

10. Data Protection

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you agree that Funbypass may process personal data as described in the Privacy Policy.

You are responsible for complying with applicable data protection laws in relation to your use of the Services, including providing any required notices and obtaining necessary consents from end users where applicable.

11. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express, implied or statutory, including any warranties of merchantability, fitness for a particular purpose, non-infringement or uninterrupted operation.

We do not guarantee that the Services will successfully interact with every protection mechanism, that third-party websites will remain accessible, or that all automation workflows will function without change over time. Target websites may modify their defenses or terms of use at any moment, which may impact the performance of your automations.

12. Limitation of Liability

To the maximum extent permitted by law, Funbypass will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, business or goodwill, arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages.

To the extent permitted by law, our total aggregate liability arising out of or relating to the Services and these Terms shall not exceed the amount actually paid by you to Funbypass for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend and hold harmless Funbypass and its affiliates, officers, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any applicable law or third-party rights.

14. Term and Termination

These Terms apply from the date you first create an Account or use the Services and continue until terminated by either party. You may stop using the Services at any time and may request closure of your Account through the dashboard or by contacting us.

We may suspend or terminate your access to the Services if you materially breach these Terms, fail to pay fees when due, or if we are required to do so by law or by a competent authority. Where reasonable, we will provide prior notice and an opportunity to cure.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction where Funbypass is established, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms will first be discussed in good faith between the parties.

If the dispute cannot be resolved amicably within a reasonable period, it shall be submitted to the competent courts of that jurisdiction, unless the parties agree in writing to an alternative dispute resolution mechanism.

16. Changes to These Terms

We may update these Terms from time to time, for example to reflect changes to the Services, legal requirements or business practices. When we make material changes, we will provide notice by email, dashboard notification or by posting an updated version on our website.

Continued use of the Services after the effective date of updated Terms will constitute your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.
